Terms of Service

2.1 Acceptance of the Terms

By creating an account, or otherwise accessing the Services, you ("Client", "you") accept these Terms. If you do not agree, do not use the Services.

2.2 Definitions

• "Services" – The IMGPT platform and any related software or APIs.
• "Content" – Any data, text, images or other materials you upload or generate.
• "Subscription" – A paid plan (Monthly or Quarterly) granting usage rights.
• "Tokens" – Units debited for usage of features.

2.3 Eligibility & Account Registration

You must be: (a) at least 18 years old, (b) acting for a business purpose, and (c) legally able to enter contracts on behalf of that business.

2.4 Subscription Plans, Fees & Billing

• Paid plans renew automatically at the end of each billing cycle (one month or three months).
• Payments are processed securely by Stripe; we do not store full card numbers.
• We will notify you at least 7 days before any price change.
• Unused monthly tokens expire; exception: promotional rewards that explicitly state rollover.
• VAT or other taxes will be added where applicable.
• Failure to pay suspends access until the balance is cleared.
• Where your plan permits, you may purchase additional tokens during a billing cycle for an extra fee; any extra tokens expire at the end of that same billing cycle and do not roll over to subsequent cycles.

2.5 Grant of Licence & Service Scope

During the active Subscription, we grant you a non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

The Services are deemed fully delivered once we issue login credentials or API keys that enable you to access the Platform, regardless of your subsequent level of use.

2.6 User Responsibilities & Prohibited Conduct

You agree not to:

• Copy, reverse-engineer or attempt to extract source code.
• Introduce malware or conduct penetration testing without prior written consent.
• Use the Services for unlawful, defamatory, discriminatory, hateful or adult-restricted advertising.
• Use the Services for any other unlawful, defamatory, discriminatory, hateful or adult-restricted advertising.
• Upload content you do not own or lack rights to use.
• Submit URLs, assets or external accounts you are not authorised to use; IMGPT accepts no liability for destinations or materials for which you lack lawful rights.
• Bypass rate limits, scrape or frame the Platform.
• Infringe any third-party intellectual-property or privacy rights.
• Violate any applicable laws, regulations or advertising standards.

We reserve the right, but not the obligation, to monitor or remove any Content at our sole discretion.

2.7 Third-Party Services & Integrations

Certain features connect to external services such as Meta Ads. You may enable integrations only if you hold legitimate credentials for both your IMGPT account and the external account. We act on your behalf to upload or manage ads; you remain responsible for complying with the external service's terms.

To deliver the Services you grant IMGPT a world-wide, royalty-free, sub-licensable, irrevocable licence to copy, modify, display, distribute and (where necessary) scrape or analyse your Content. This licence is limited to providing, securing and improving the Services, including model training (as explained in the Privacy Policy).

2.10 Disclaimers of Warranty

The Services and any output are provided "AS IS" and "AS AVAILABLE".

We expressly disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement and that any ad creative will achieve a specific performance metric.

Because output is generated algorithmically, similar or identical creatives may be produced for different users, and uniqueness is not guaranteed. Once a creative leaves the Platform, you bear sole responsibility for any further use, publication, or distribution of that creative.

2.11 Limitation of Liability

To the maximum extent permitted by law, IMGPT's total liability arising out of or relating to the Services will not exceed the total fees paid by you during the 12 months preceding the claim, and IMGPT will not be liable for any indirect, incidental, consequential, punitive or special damages, including loss of profits, data or goodwill.

2.12 Indemnification

You will indemnify and hold harmless IMGPT from any claim, loss or expense (including lawyer's fees) arising from your (a) breach of these Terms, (b) misuse of the Services, or (c) infringement of third-party rights.

2.13 Suspension & Termination

We may suspend or terminate access (with reasonable notice where practicable) if you violate these Terms or if required by law. Upon termination, your licence ends and you must cease all use of the Services.

2.14 Changes to the Services or Terms

We may modify or discontinue the Services at any time. Updated Terms become effective as soon as possible after posting. Your continued use indicates acceptance.

2.15 Governing Law & Dispute Resolution

These Terms are governed by the laws of Romania without regard to conflict-of-law rules. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Bucharest, except where mandatory law provides otherwise.

2.16 Miscellaneous

If any provision is held unenforceable, the remainder will remain in effect. Neither party is liable for failure caused by force majeure. You may not assign rights without our written consent; we may assign in the context of a merger or sale of assets. Headings are for convenience only.
